These Terms and Conditions (“Terms”) govern your use of the Submittal Assistant software, website, and related services provided by Submittal Assistant, LLC (“Submittal Assistant,” “we,” “our,” or “us”). By accessing our website, downloading the software, purchasing a license, or using the software, you agree to be bound by these Terms.

1. Software License

Subject to these Terms and payment of all applicable fees, Submittal Assistant grants you a limited, non-exclusive, non-transferable, revocable license to install and use the software solely for your internal business purposes.

Unless otherwise stated, each license is intended for installation and activation on one computer.

2. Trial Version

The free trial is provided solely for evaluation purposes.

Certain functionality, including final PDF export, may be disabled or restricted until a valid license is activated.

3. Permitted Use

The software is intended solely to assist users in preparing PDF drawing packages by:

Extracting individual PDF sheets
Generating user-reviewed filenames
Applying version indicators
Organizing exported drawing sheets
Assisting with drawing-package preparation

The software is not intended to replace professional judgment, quality-control procedures, or agency submission requirements.

4. What the Software Does Not Do

Submittal Assistant does not:

Submit drawings or documents to OSFM
Submit drawings or documents to DSA
Upload drawings to any government agency
Connect to or communicate with any government permitting system
File permit applications
Review drawings for code compliance
Determine whether a submittal is complete
Determine whether drawings satisfy agency requirements
Guarantee acceptance, approval, or permit issuance
Replace applicable laws, regulations, agency procedures, or professional review

5. User Responsibilities

You are solely responsible for:

Reviewing every exported PDF
Verifying sheet numbers
Verifying sheet titles
Verifying filenames
Verifying drawing order
Verifying version indicators
Confirming that all required sheets are included
Ensuring compliance with all applicable agency requirements
Completing the official submission process

You must independently review all software output before using or submitting any exported file. You should not rely solely upon the software when preparing a regulatory submission.

6. OCR and Automated Recognition

The software may use Optical Character Recognition (“OCR”) and other automated methods to identify drawing information.

Automated recognition may produce inaccurate, incomplete, or unexpected results.

You are solely responsible for verifying all automatically identified or generated information before using, distributing, or submitting exported files.

7. Government Agency Independence

Submittal Assistant is an independent third-party software product.

It is not affiliated with, approved by, endorsed by, sponsored by, or developed on behalf of:

California Office of the State Fire Marshal (“OSFM”)
Division of the State Architect (“DSA”)
Department of Health Care Access and Information (“HCAI”)
Any federal, state, county, municipal, or local government agency

Any reference to a government agency is provided solely to describe a workflow or potential use of the software.

8. Payments, Subscriptions, and Licensing

Software purchases, subscription billing, and license management may be processed through Lemon Squeezy or another authorized service provider.

Your continued use of paid software features is subject to maintaining a valid and active license.

Prices, billing periods, renewal terms, and applicable taxes will be presented at the time of purchase.

9. License Activation

A software license may be limited to a specified number of users, computers, or activations based on the license purchased.

You may not share, transfer, resell, publish, or distribute a license key except as expressly authorized by Submittal Assistant, LLC.

We may suspend or deactivate a license that is used in violation of these Terms.

10. Software Updates

We may provide software updates, bug fixes, compatibility changes, enhancements, or new features at our discretion.

We do not guarantee that updates will be provided for any particular period or that the software will remain compatible with every operating system, device, third-party application, or PDF format.

11. Intellectual Property

The software, website, logos, graphics, interfaces, documentation, source code, object code, and all related intellectual property remain the exclusive property of Submittal Assistant, LLC or its licensors.

You may not:

Reverse engineer the software
Decompile or disassemble the software
Modify or alter the software
Redistribute or republish the software
Resell or sublicense the software
Copy the software except for authorized backup purposes
Create derivative works based on the software
Circumvent license activation or access controls

These restrictions apply except to the limited extent that applicable law expressly prohibits such restrictions.

12. Local File Processing

During normal operation, PDF drawing files are processed locally on the user’s computer.

Submittal Assistant does not upload, submit, transmit, or store customer drawing files on behalf of the user during the normal PDF extraction and renaming workflow.

Internet access may be used for software activation, license verification, subscription validation, updates, or related services.

13. Backup and Data Responsibility

You are responsible for maintaining backups of all original files, exported files, project records, and related information.

You should retain the original combined PDF drawing package and independently confirm that exported files are complete and usable before deleting, replacing, transmitting, or submitting any document.

14. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the software, website, and related services are provided “AS IS” and “AS AVAILABLE”, without warranties of any kind, whether express, implied, statutory, or otherwise.

Submittal Assistant, LLC disclaims all warranties, including implied warranties of:

Merchantability
Fitness for a particular purpose
Non-infringement
Accuracy
Reliability
Availability
Compatibility

We do not warrant that the software will operate without interruption, that it will be error-free, or that every PDF, title block, sheet number, sheet title, filename, or version indicator will be recognized correctly.

15. No Guarantee of Agency Acceptance

Use of Submittal Assistant does not guarantee that any document or drawing package will be accepted, approved, reviewed, processed, or permitted by OSFM or any other authority having jurisdiction.

Agency acceptance is determined solely by the applicable government agency or authority having jurisdiction.

16. Limitation of Liability

To the maximum extent permitted by applicable law, Submittal Assistant, LLC and its owners, officers, employees, contractors, affiliates, and service providers shall not be liable for any direct, indirect, incidental, special, exemplary, punitive, or consequential damages arising from or relating to the software, website, services, or exported files.

This limitation includes damages or losses relating to:

Rejected or returned submittals
Permit or review delays
Incorrect filenames
OCR or automated-recognition errors
Drawing omissions
Duplicate or missing sheets
Drawing sequencing issues
Agency comments
Project delays
Loss of profits or revenue
Loss of business opportunities
Business interruption
Loss or corruption of data
Replacement or reproduction costs

To the maximum extent permitted by applicable law, the total cumulative liability of Submittal Assistant, LLC arising from or relating to the software, website, services, or these Terms shall not exceed the amount you paid for the applicable software license during the twelve (12) months immediately preceding the event giving rise to the claim.

17. Indemnification

You agree to defend, indemnify, and hold harmless Submittal Assistant, LLC and its owners, officers, employees, contractors, affiliates, and service providers from claims, liabilities, damages, judgments, losses, costs, and expenses arising from or relating to:

Your use or misuse of the software
Your exported files or drawing packages
Your submission of documents to a government agency
Your violation of these Terms
Your violation of applicable law
Your infringement of another party’s rights

18. Suspension and Termination

We may suspend or terminate access to the software or related services if we reasonably determine that a license is being used fraudulently, unlawfully, or in violation of these Terms.

Upon termination, your right to use the software will end, but provisions concerning intellectual property, disclaimers, liability limitations, indemnification, and governing law will survive.

19. Third-Party Services

The website or software may rely on or link to third-party services, including payment, licensing, analytics, hosting, email, or update providers.

Submittal Assistant, LLC is not responsible for the availability, performance, content, privacy practices, or security of third-party services.

20. Governing Law

These Terms shall be governed by and interpreted under the laws of the State of California, without regard to conflict-of-law principles.

Any legal action arising from these Terms or your use of the software shall be brought in a court of competent jurisdiction located in California, unless applicable law requires otherwise.

21. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

22. Entire Agreement

These Terms, together with the Privacy Policy, Disclaimer, purchase terms, and any applicable license information, constitute the entire agreement between you and Submittal Assistant, LLC concerning the software, website, and related services.

23. Changes to These Terms

We may revise these Terms periodically.

Changes will be identified by updating the “Last Updated” date at the top of this page. Continued use of the software or website after revised Terms become effective constitutes acceptance of the revised Terms.
